Definition
The Guaranty is a legal commitment given by some person (the Guarantor) to perform on behalf of another. Usually, this takes the form of securing with collateral the undertaking of another or promising to answer for another's debt, liability, or obligation.

As Part of a Lease
The Guarantor may unconditionally and irrevocably guarantee the full, faithful and timely payment and performance by Tenant of all of the payments, covenants and other obligations of Tenant under or pursuant to the Lease.

Duration
The Guaranty remains and continues in full force and effect for as long as the Tenant's obligations last. In other words, the Guarantor is on the hook notwithstanding any alteration, renewal, extension, modification, amendment or assignment of, or subletting, concession, franchising, licensing or permitting under, the Lease.

Joint & Several Liability
If more than one Guarantor.

Binding Nature
The Guaranty survives even if the Guarantor, Landlord, or Tenant subsequently assign their particular interest to their respective heirs, executors, administrators, representatives, successors or assigns.

Limitation of Liability
Guarantor wants to limit the amount he would ever be liable for in case of tenant's default.
